Description: This individual will provide legal assistance to the General Counsel and legal team for all corporate legal matters.

Reports To: General Counsel


Principle Responsibilities and Duties:

Assemble, proof read and edit drafts of contracts of sales, marketing, consulting, partnership and licensing.
Prepare standard form agreements, such as non-disclosure agreements and engage in some standard contract negotiations.
Update various monthly reports.
Maintain contract management database.
Draft corporate minutes and resolutions, assist with other corporate governance matters.
Maintain master calendar of SEC Filings, board and stockholder-related events.
Work with HR and third party stock administrator on company equity plans and related events.
Work with General Counsel on preparation of SEC filings including the annual stockholder proxy materials.
Filing and other clerical duties as directed.
Experience, Education, Training, Traits:

3+ years of relevant experience. Both law firm and in house experience preferred.
BS/BA degree or equivalent is required, preferably in a related field.
A Paralegal Certification is preferred.
Proficiency in Word, Excel and Powerpoint is required.
Good verbal and written communication skills.
Must be able to multitask.
Ability to work cross functionally.
Keen attention to detail and deadlines.
Flexibility and ability to adapt to a fast paced environmentPrevious ad technology industry experience is desirable, but not required.
